I think this has to do with your processor... I had a similar problem with another Athlon 64bit Dual Core machine and Debian. I solved it by adding some extra kernel options at boot.
When the Live CD boots, press TAB to show the boot options. Then press TAB again to get the kernel options to appear below, then add these 2 options.
And then hit enter.

Do you get an error message of any kind, or does it just reboot on you?
