Shell script run under sudo complains chmod not allowed

hi all I'm trying to run unyaffs script which is owned by root,on a ubuntu 12.04lts it ran without error, but on mint maya/mate system 32 or 64 bit
with or without sudo or run sudo su and then as root

Warning: Can't chmod xbin/su: Operation not permitted
Warning: Can't chmod xbin/procrank: Operation not permitted
Warning: Can't chmod xbin/librank: Operation not permitted
Warning: Can't chmod xbin/procmem: Operation not permitted
Can't create symlink fonts/DroidSans-Bold.ttf: Operation not permitted

chmod works okay manually and script is owned by root and executable
