This is an awkward one. If the licence is an OEM one it's technically tied to that hardware whereas a retail licence can be moved between machines (my Win7 copy is retail). Surely just replacing the fan will be sufficient? Unless of course it is bonded to the GPU in some way. I've had to replace fans before due to worn bearings making them sound like a helicopter. They stall eventually. ;)
