Might want to plan for a backup and recovery to a new HDD
ionice ddrescue can copy the entire hdd for recovery

Go to software sources and disable any PPA's then try refreshing

If you don't have PPA's
Open synaptic and check and see if you have broken packages and try the upgrade from there
