Can't compile (intel 537 chipset driver)

You have the Linux kernel sources and all needed packages installed? That would all be in package build-essential ... you can't compile stuff without it. Other than that I am out of ideas at the moment. Was there a 'README' file or something? Can you post the URL where you got the driver from? Maybe there is more clues back there ...

I believe this may be your problem.
The installation script has been designed for the following distributions
release versions

Mandrake-release
SuSE-release
Redhat-release
Fedora Core 2 -release
Unknown distributions install modules and utilities but
will not install boot scripts!.
Make sure to get Modem Chipset Driver (Uncompiled) - [INTEL-537EP-2.60.80.0.TGZ]
The installation script has been designed for the following distributions
release versions

mandrake-release
SuSE-release
redhat-release
debian_version (including Corel)
slackware-version
conectiva-version
bluepoint-release
redflag-release
Unknown distributions install modules and utilities but
will not install boot scripts!.

Also The Intel-537ep-2.60.80.0.tgz contains the base, partial open source, UNCOMPILED Intel® 537EP V.92 modem (PCI) chipset driver for Linux version 2.60.80.0 (for kernels 2.4.x and 2.6.x).
Development tools and the 2.4 or 2.6 kernel source (configuration matching running kernel) are required to compile this driver.
